The Best of Both Worlds: Partnership meets Corporate Shield
Register a Limited Liability Partnership (LLP) in India. Expert LLP agreement drafting, MCA filing, and compliance advisory services.
Combine the flexibility of a partnership with the robust liability protection of a company.
The preferred structure for consulting firms, agencies, and professional services offering operational flexibility and personal asset protection.
Introduced via the Limited Liability Partnership Act, 2008, the LLP structure is designed to provide the benefits of limited liability while allowing its members the flexibility of organizing their internal management on the basis of a mutually arrived agreement.
In a traditional partnership, if the business fails, partners can lose their personal homes and savings to pay off business debts. Furthermore, one partner's negligence can financially ruin the others. An LLP strictly prevents this. It acts as a separate legal entity, restricting liability to the capital contributed.
Because of its light compliance requirements and flexible management structure, the LLP is wildly popular among service-oriented businesses, design agencies, CA/CS firms, and small to medium-sized B2B enterprises.
- Category: Business Incorporations
- Separate legal entity status
- No limit on the maximum number of partners
- Partners act as agents of the LLP, not of other partners
- Easier to close or wind down compared to a Pvt Ltd
- Drafting of customized LLP Agreement
- MCA FiLLiP filing support
- Lower compliance burden
- Zero minimum capital requirement
Why Professionals Choose the LLP Structure
A deep dive into the strategic benefits of an LLP.
- No Audit Requirement (Initially): An LLP is not required to get its accounts audited until its annual turnover exceeds ₹40 Lakhs or its capital contribution exceeds ₹25 Lakhs. This saves significant compliance costs for early-stage firms.
- Protection Against Partner Negligence: Under an LLP, no partner is liable on account of the independent or un-authorized actions of other partners, creating a firewall against individual misconduct.
- No Minimum Capital: An LLP can be formed with the least possible capital. There is no statutory minimum capital requirement.
- Operational Flexibility: Unlike the rigid Companies Act rules for board meetings and voting in a Pvt Ltd, an LLP's operations are governed entirely by the flexible LLP Agreement drafted by the partners.

Frequently asked questions
These quick answers cover common planning questions before you request a checklist or quote.
- Can a Private Limited Company be converted into an LLP?: Yes. The LLP Act provides a clear provision for the conversion of a private limited company or an unlisted public company into an LLP.
- Is the LLP Agreement mandatory?: Absolutely. The LLP Agreement is the most critical document. It must be drafted, printed on stamp paper of appropriate value, notarized, and filed with the MCA within 30 days of incorporation.
- Can an NRI or Foreigner be a partner in an LLP?: Yes, Foreign Nationals and NRIs can become partners in an LLP after obtaining a DPIN/DIN, provided the FDI guidelines for the specific sector are met and at least one designated partner is an Indian resident.
- Can an LLP raise venture capital funding?: While possible, it is extremely rare. VCs and angel investors heavily prefer Private Limited Companies because LLPs cannot issue equity shares or ESOPs. If you plan to raise institutional funding, a Pvt Ltd is highly recommended.
